1. Introduction and Acceptance

Welcome to UAE E-Invoice Pro ("Platform", "Service", "we", "us", or "our"). These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and UAE E-Invoice Pro, governing your access to and use of our electronic invoicing platform and related services.

By accessing, registering for, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and the Service Level Agreement (SLA), each as may be updated from time to time. If you do not agree, you must not access or use the Platform.

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, including but not limited to Federal Decree-Law No. 45 of 2021 (Personal Data Protection Law), Federal Law No. 1 of 2006 on Electronic Commerce and Transactions, and Federal Law No. 15 of 2020 on Consumer Protection.

2. Definitions

  • "Account" means the user account created to access the Platform.
  • "ASP" means Accredited Service Provider as defined by the UAE Federal Tax Authority for e-invoicing transmission.
  • "Content" means any data, text, files, documents, invoices, or other materials uploaded, submitted, or transmitted through the Platform.
  • "E-Invoice" means an electronic invoice compliant with UAE PINT (Peppol International) standards and FTA requirements.
  • "FTA" means the UAE Federal Tax Authority.
  • "PINT AE" means the Peppol International standard adapted for the United Arab Emirates.
  • "Subscription" means the paid service plan selected by the User.
  • "TRN" means Tax Registration Number issued by the FTA.

3. Eligibility and Registration

3.1 Eligibility Requirements

To use the Platform, you must:

  • Be at least 18 years of age or the age of legal majority in your jurisdiction;
  • Be a registered business entity in the United Arab Emirates or authorized to conduct business within the UAE;
  • Possess a valid Trade License issued by the relevant UAE authority;
  • Hold a valid Tax Registration Number (TRN) if required under UAE VAT law;
  • Have the legal capacity and authority to enter into binding agreements.

3.2 Account Registration

When registering for an Account, you agree to:

  • Provide accurate, current, and complete information as required;
  • Maintain and promptly update your Account information;
  • Maintain the security and confidentiality of your login credentials;
  • Accept responsibility for all activities occurring under your Account;
  • Immediately notify us of any unauthorized use of your Account.

4. Services Description

4.1 Platform Services

UAE E-Invoice Pro provides the following services:

  • Generation of PINT AE compliant electronic invoices;
  • Validation of invoice data against FTA requirements;
  • XML document generation in UBL 2.1 format;
  • Integration with Accredited Service Providers (ASPs);
  • Invoice storage and archival services;
  • Reporting and analytics tools;
  • AI-assisted compliance support;
  • API access for system integration (based on subscription tier).

4.2 Service Limitations

You acknowledge and agree that:

  • The Platform is a tool to facilitate e-invoicing compliance; ultimate compliance responsibility rests with you;
  • We do not provide tax, legal, or accounting advice;
  • ASP transmission services depend on third-party providers and their availability;
  • Service availability may be subject to scheduled maintenance and updates;
  • Features may vary based on your subscription tier.

5. Subscription Plans and Fees

5.1 Subscription Tiers

The Platform offers various subscription tiers (Free, Starter, Business, Enterprise) with different features, limits, and pricing. Current pricing and features are available on our Pricing page.

5.2 Payment Terms

  • All fees are quoted and payable in UAE Dirhams (AED) unless otherwise specified;
  • Subscription fees are billed in advance on a monthly or annual basis;
  • Payment is processed through our secure payment provider (Stripe);
  • All fees are exclusive of applicable taxes, including UAE VAT at the prevailing rate;
  • You are responsible for providing accurate billing information.

5.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through your Account settings or by contacting our support team.

5.4 Refund Policy

In accordance with UAE Consumer Protection Law (Federal Law No. 15 of 2020):

  • New subscribers may request a full refund within 14 days of initial subscription if the service has not been substantially used;
  • Refunds are not available for partial billing periods or after the 14-day period;
  • Refunds will be processed within 14 business days to the original payment method;
  • Annual subscriptions cancelled mid-term are not eligible for pro-rata refunds unless required by law.

6. User Obligations and Responsibilities

6.1 Compliance Obligations

You are solely responsible for:

  • Ensuring the accuracy and completeness of all invoice data entered;
  • Maintaining valid TRN registration with the FTA;
  • Complying with all applicable UAE tax laws and regulations;
  • Retaining invoices and records for the period required by law (minimum 5 years);
  • Timely submission of invoices as required by FTA regulations;
  • Ensuring your use of the Platform complies with all applicable laws.

6.2 Prohibited Activities

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of UAE law;
  • Submit false, fraudulent, or misleading invoice information;
  • Attempt to circumvent Platform security measures;
  • Share Account credentials with unauthorized parties;
  • Use the Platform to transmit malware or harmful code;
  • Reverse engineer, decompile, or disassemble the Platform;
  • Resell or redistribute Platform services without authorization;
  • Use the Platform in any manner that could damage, disable, or impair the service.

7. Data Protection and Privacy

7.1 Data Processing

We process personal data in accordance with UAE Federal Decree-Law No. 45 of 2021 (Personal Data Protection Law) and our Privacy Policy. By using the Platform, you consent to such processing.

7.2 Data Controller

For the purposes of data protection law, you are the Data Controller for your business data and customer information. We act as a Data Processor on your behalf.

7.3 Data Security

We implement appropriate technical and organizational measures to protect your data, including:

  • Encryption of data in transit and at rest;
  • Secure authentication mechanisms;
  • Regular security audits and assessments;
  • Access controls and monitoring;
  • Data backup and disaster recovery procedures.

7.4 Data Retention

Invoice data and related records are retained for a minimum of 5 years in accordance with UAE tax law requirements. Upon Account termination, data will be retained as required by law and subsequently deleted in accordance with our data retention policy.

8. Intellectual Property Rights

8.1 Platform Ownership

The Platform, including all software, designs, trademarks, and content (excluding User Content), is owned by UAE E-Invoice Pro and protected by UAE intellectual property laws and international treaties.

8.2 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes.

8.3 User Content

You retain ownership of your Content. By uploading Content, you grant us a license to process, store, and transmit such Content as necessary to provide the services.

9. Disclaimers and Limitation of Liability

9.1 Service Disclaimer

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE", SUBJECT TO THE EXPRESS SERVICE LEVEL COMMITMENTS SET FORTH IN THE SERVICE LEVEL AGREEMENT (SLA).

9.2 Limitation of Liability

To the maximum extent permitted by UAE law:

  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages;
  • Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim;
  • We are not liable for damages arising from your failure to comply with FTA requirements or applicable laws;
  • We are not liable for third-party service failures, including ASP transmission issues.

9.3 Indemnification

You agree to indemnify and hold harmless UAE E-Invoice Pro, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, violation of these Terms, or infringement of third-party rights.

9.4 Service Level Agreement

Service availability commitments, support targets, and service credits are governed exclusively by the Service Level Agreement (SLA). Service credits constitute the User's sole and exclusive remedy for failure to meet service levels.

10. Termination

10.1 Termination by User

You may terminate your Account at any time by cancelling your subscription through your Account settings and providing written notice to our support team.

10.2 Termination by Us

We may suspend or terminate your Account immediately if:

  • You breach any provision of these Terms;
  • Your payment method fails and payment is not received;
  • We reasonably believe your Account is being used for fraudulent purposes;
  • Required by law or regulatory authority;
  • We discontinue the Platform (with 30 days' prior notice).

10.3 Effect of Termination

Upon termination, your right to use the Platform ceases immediately. You may request export of your data within 30 days of termination. Data will be retained as required by law and subsequently deleted.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to conflicts of law principles.

11.2 Dispute Resolution

Any dispute arising from or relating to these Terms shall be resolved as follows:

  • Negotiation: The parties shall first attempt to resolve disputes through good-faith negotiation within 30 days;
  • Mediation: If negotiation fails, the dispute shall be referred to mediation under the rules of the Dubai International Arbitration Centre (DIAC);
  • Arbitration: If mediation fails, the dispute shall be finally resolved by arbitration under DIAC Rules. The arbitration shall be conducted in English in Dubai, UAE.

11.3 Jurisdiction

For matters not subject to arbitration, the courts of Dubai, United Arab Emirates, shall have exclusive jurisdiction.

12. General Provisions

12.1 Amendments

We reserve the right to modify these Terms at any time. Material changes will be notified via email or Platform notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.

12.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.

12.3 Entire Agreement

These Terms, the SLA, and Privacy Policy constitute the entire agreement between you and UAE E-Invoice Pro.

12.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights to an affiliate or successor entity.

12.5 Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, war, terrorism, strikes, government actions, or internet/telecommunications failures.

12.6 Language

These Terms are provided in English. In case of translation, the English version shall prevail.

12.7 Order of Precedence

In case of conflict, these Terms prevail unless the SLA expressly states otherwise.
